A. Definitions

Short Version: We use these basic terms throughout the agreement, and they have specific meanings. You should know what we mean when we use each of these terms.

  • "Account" represents your legal relationship with GitForge. A "Personal Account" is an individual user's authorization to log in and use the Service. An "Organization" is a shared workspace where multiple Users can collaborate.
  • "Agreement" refers, collectively, to all the terms, conditions, and notices contained or referenced in this document (the "Terms of Service" or the "Terms") and all other operating rules and policies we may publish.
  • "Beta Previews" means software, services, or features identified as alpha, beta, preview, early access, or similar words.
  • "Content" means content featured or displayed on the Website, including code, text, data, images, software, and any other material. "User-Generated Content" is content created or uploaded by our users. "Your Content" is content you create or own.
  • "GitForge", "We", and "Us" refer to GitForge, Inc., as well as our affiliates, directors, subsidiaries, contractors, and employees.
  • "Service" refers to the applications, software, products, and services provided by GitForge, including Beta Previews.
  • "User", "You", and "Your" refer to the individual, company, or organization that has visited or is using the Website or Service. A User must be at least 13 years old.
  • "Website" refers to the GitForge website, along with all content, services, and products provided by GitForge through the site.

B. Account Terms

Short Version: Accounts must be created by a human, you must be 13 or older, provide a valid email, and maintain the security of your account. You are responsible for all activity under your account.

1. Account Controls

Users retain ultimate administrative control over their Personal Account. The Owner of an Organization has ultimate administrative control over that Organization and is responsible for the actions taken on or through it.

2. Required Information

You must provide a valid email address to complete the sign-up process. Other information, like your real name, is optional unless required for billing (for paid accounts) or for legal entity representation.

3. Account Requirements

  • You must be a human to create an Account. Automated registrations ("bots") are not allowed, though machine accounts are permitted if managed by a human who accepts these terms.
  • You cannot maintain more than one free Personal Account.
  • You must be 13 years or older. If you are under 13, you cannot use the Service.
  • Your login may only be used by one person.
  • You may not use GitForge in violation of any applicable export control laws or sanctions.

4. Account Security

You are responsible for the security of your Account and your password. GitForge is not liable for any loss or damage resulting from your failure to comply with this security obligation.

You must promptly notify GitForge if you become aware of any unauthorized use or access to the Service through your Account.

5. Additional Terms

In certain situations, third-party terms may apply. If you are a government User or using a GitForge Service in a governmental capacity, specific Government Amendments may apply. If you are registered for GitForge Enterprise Cloud, the Enterprise Cloud Addendum applies.

C. Acceptable Use

Short Version: Use the Service lawfully and respectfully. Do not infringe on intellectual property or violate any laws.

Your use of the Website and Service must not violate any applicable law, including copyright or trademark laws, export control laws, or other laws in your jurisdiction.

You agree not to violate our Acceptable Use Policies or our Community Guidelines in any way.

D. User-Generated Content

Short Version: You own your content, but you grant us and other users rights to it so we can run the Service. We can remove content if necessary.

1. Responsibility for User-Generated Content

You are solely responsible for the Content and any damages resulting from any User-Generated Content that you post, upload, link to, or otherwise make available via the Service.

2. GitForge May Remove Content

We have the right to refuse or remove any User-Generated Content that, in our sole discretion, violates any law or GitForge's terms or policies.

3. Content Ownership, Right to Post, and License Grant

You retain ownership of, and responsibility for, Your Content. If you post content you didn't create, you are responsible for ensuring you have the right to post it and that you comply with any third-party licenses.

You grant us, and other GitForge users, specific legal permissions (licenses) listed below to enable us to run the Service. You will receive no payment for the rights granted in Sections D.4 through D.7.

4. License Grant to Us

You grant us and our legal successors the right to store, archive, parse, and display Your Content, and to make incidental copies as necessary to provide the Service. This license includes the right to copy it to our database, make backups, show it to users, analyze it for indexing, and execute it if it's runnable content (like code snippets).

This license does not grant GitForge the right to sell Your Content or to distribute or otherwise use Your Content outside of our provision of the Service.

5. License Grants to Other Users

By setting your repositories to be publicly viewable, you agree to allow others to view and "fork" them (meaning others can make their own copies of your repository content).

If you set your pages and repositories to be publicly viewable, you grant each user of GitForge a worldwide, non-exclusive license to use, display, and perform Your Content through the GitForge Service and to reproduce Your Content solely on GitForge, as permitted by GitForge's features (e.g., forking).

6. Repository License Contributions

Whenever you add content to a repository containing a license notice, you license that content under the same terms and agree you have the right to license that content under those terms. This is commonly referred to as "inbound=outbound."

7. Moral Rights

You retain all moral rights to Your Content but waive these rights and agree not to assert them against us, to allow us to reasonably exercise the rights granted in Section D.4.

E. Private Repositories

Short Version: We treat private repository content as confidential. We only access it under the limited circumstances described in our Privacy Statement.

1. Control of Private Repositories

Certain Accounts may have private repositories, which allow the User to control access to the Content.

2. Confidentiality of Private Repositories

GitForge considers the Content of private repositories to be confidential to you. We will protect it from unauthorized use, access, or disclosure with at least a reasonable degree of care.

3. Access

GitForge personnel may only access the Content of your private repositories in the situations described in our Privacy Statement, such as for security, to assist the repository owner with a support matter, to maintain the integrity of the Service, to comply with legal obligations, or with your consent.

We will provide notice regarding our access to private repository content, except in cases of legal disclosure, to comply with legal obligations, or in response to a security threat or other safety risk.

Short Version: If you believe content on GitForge infringes your copyright, please contact us. We follow the Digital Millennium Copyright Act (DMCA) procedure.

If you believe that content on our Website violates your copyright, please contact us in accordance with our Digital Millennium Copyright Act Policy via our official form or by emailing the copyright department. Sending a false or frivolous takedown notice may result in legal consequences.

We will terminate the Accounts of repeat infringers of this policy.

G. Intellectual Property Notice

Short Version: We own the Service and its content. You may only use our content as authorized.

1. GitForge's Rights to Content

GitForge retains ownership of all intellectual property rights related to the Website and Service. We reserve all rights not expressly granted to you under this Agreement or by law. The look and feel of the Website and Service are copyright © GitForge, Inc. All rights reserved. You may not duplicate, copy, or reuse any portion of the visual design elements without express written permission from GitForge.

2. GitForge Trademarks and Logos

If you wish to use GitForge's marks, you must follow all of our trademark guidelines.

H. API Terms

Short Version: Do not abuse or make excessive requests to the API. Do not use the API for spam or unauthorized data harvesting.

Abuse or excessively frequent requests to GitForge via the API may result in the temporary or permanent suspension of your Account’s access to the API. GitForge, in our sole discretion, will determine abuse or excessive usage.

You cannot share API tokens to circumvent GitForge’s rate limits.

You cannot use the API to download data or content from GitForge for spamming purposes, including the purpose of selling GitForge users’ personal information.

I. Additional Product Terms

Short Version: You must abide by specific terms for different GitForge features.

Certain features of the Service may be subject to additional terms specific to that feature or product, as outlined in the GitForge Supplemental Product Terms. By accessing or using the Services, you also agree to those Supplemental Product Terms.

J. Beta Previews

Short Version: Beta Previews are experimental and may change or break at any time. Use at your own risk.

1. No Support or Maintenance

Beta Previews may not be supported and may be changed at any time without notice. Use of a Beta Preview is at your own risk.

2. Confidentiality

Non-public Beta Preview information is considered confidential information of GitForge. You agree to keep such information secret.

K. Payment

Short Version: You are responsible for prompt payment. All fees are exclusive of taxes.

You agree to pay all fees associated with your use of the Service. All fees are exclusive of all taxes, levies, or duties** imposed by taxing authorities. You are responsible for payment of all such taxes, levies, or duties.

L. Cancellation and Termination

Short Version: You can stop using the Service anytime. We can suspend or terminate your account for violations.

1. Account Cancellation

It is your responsibility to properly cancel your account. You can cancel at any time by following the instructions in your Account settings. We will retain and use your information as necessary to comply with our legal obligations, resolve disputes, and enforce our agreements.

2. GitForge Termination

GitForge has the right to suspend or terminate your access to all or any part of the Website at any time, with or without cause, with or without notice, effective immediately, if we have reason to believe you have violated this Agreement.

M. Communication with GitForge

Short Version: We use electronic communication only.

We use electronic means, such as email and Service notifications, to stay in touch with our Users. By using the Service, you consent to receive communications from us electronically.

N. Disclaimer of Warranties

Short Version: The Service is provided "as is," and we make no guarantees.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." GITFORGE EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

O. Limitation of Liability

GITFORGE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF GITFORGE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM YOUR USE OF THE SERVICE OR INABILITY TO USE THE SERVICE.

P. Release and Indemnification

Short Version: You are fully responsible for your use and agree to protect GitForge from claims related to your use.

You agree to indemnify and hold harmless GitForge from and against any and all claims, liabilities, damages, and expenses, including reasonable attorneys’ fees, arising out of or related to your use of the Website and Service, including any violation of this Agreement.

Q. Changes to These Terms of Service

Short Version: We may change these Terms, but we'll notify you of material changes.

We reserve the right to change these Terms of Service at any time. If the changes are material ("Material Changes"), we will provide 30 days' notice on our Website or via email before the changes take effect.

R. Miscellaneous Provisions

Short Version: Standard legal boilerplate.

  • Governing Law: This Agreement shall be governed by the laws of the State of California, U.S.A., without regard to its conflict of laws principles.
  • Non-Assignment: GitForge may assign this Agreement; you may not.
  • Severability: If any part of this Agreement is held invalid or unenforceable, that part will be construed to reflect the parties’ original intent, and the remaining portions will remain in full force and effect.
